Terms of Service

1. Acceptance of Terms

By accessing or using UGC Studio ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and UGC Studio.

2. Service Description

UGC Studio provides an AI-powered platform for generating UGC (User-Generated Content) video advertisements. The Service includes AI script generation, AI video generation via third-party AI providers, and video hosting for generated content.

You must be at least 18 years old to use UGC Studio.

3. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscriptions and Billing

• Subscriptions are billed monthly in USD on a recurring basis
• You may upgrade or downgrade your plan at any time — changes take effect on the next billing cycle
• Cancellation takes effect at the end of the current billing period
• No refunds for partial months — you retain access until the end of your billing period
• All fees are non-refundable except as required by law

5. Acceptable Use

You agree NOT to use UGC Studio to:

• Generate content that is illegal, harmful, or deceptive
• Create content that infringes on intellectual property rights of third parties
• Generate content portraying real individuals without their consent
• Use the Service for spam, scams, or fraudulent advertising
• Resell or redistribute generated content in a way that violates these Terms
• Attempt to reverse-engineer, copy, or replicate the AI models underlying the Service
• Use automated systems or bots to access the Service without authorization

6. Content Ownership

You retain full ownership of all content you create using UGC Studio, including generated videos and scripts. You are solely responsible for ensuring your inputs and outputs do not violate any third-party rights or applicable laws.

UGC Studio may use anonymized, aggregated data derived from your use of the Service to improve our AI models and platform.

7. Intellectual Property

The Service, including the platform, design, and underlying AI technology, is owned by UGC Studio and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service as provided. You may not copy, modify, or distribute the platform or its components without authorization.

8. Third-Party AI Providers

Video generation is powered by third-party AI providers (including Laozhang AI). Your use of generated videos is subject to the terms and policies of those providers. UGC Studio does not guarantee uninterrupted availability of third-party AI services.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be error-free, uninterrupted, or free of harmful components. You acknowledge that AI-generated content may contain inaccuracies and that you are responsible for reviewing all content before use.

10. Limitation of Liability

To the maximum extent permitted by law, UGC Studio shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to UGC Studio in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless UGC Studio, its officers, directors, employees, and agents from any claim, damage, loss, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. Accounts may be terminated for violations including but not limited to: fraudulent use, illegal content generation, or failure to pay outstanding fees.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in NSW, Australia.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email to the address associated with your account. Continued use of the Service after changes constitutes acceptance of the updated Terms.
